{"id":2958,"date":"2025-06-04T15:02:23","date_gmt":"2025-06-04T15:02:23","guid":{"rendered":"https:\/\/www.acrossborderslegal.com\/?p=2958"},"modified":"2025-06-04T17:15:13","modified_gmt":"2025-06-04T17:15:13","slug":"new-mandatory-requirement-for-legal-entities-in-costa-rica-official-email-registration","status":"publish","type":"post","link":"https:\/\/www.acrossborderslegal.com\/es\/new-mandatory-requirement-for-legal-entities-in-costa-rica-official-email-registration\/","title":{"rendered":"\ud83d\udce2 New Mandatory Requirement for Legal Entities in Costa Rica: Official Email Registration"},"content":{"rendered":"<p class=\"wp-block-paragraph\">Starting <strong>June 4, 2025<\/strong>, a key reform will take effect that directly impacts <strong>corporations, foundations, associations, and cooperatives<\/strong> in Costa Rica: the obligation to <strong>register an official email address<\/strong> with the <strong>National Registry of Legal Entities<\/strong>.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Law No. 10.597 and Directive DPJ-002-2025<\/strong><\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h3 class=\"wp-block-heading\">Who does this apply to?<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">This requirement affects:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Corporations (S.A.)<\/li>\n\n\n\n<li>Limited Liability Companies (S.R.L.)<\/li>\n\n\n\n<li>Individual Limited Liability Enterprises (E.I.R.L.)<\/li>\n\n\n\n<li>Foundations<\/li>\n\n\n\n<li>Associations<\/li>\n\n\n\n<li>Cooperatives<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\"><em>If your company is registered in Costa Rica, this law applies to you.<\/em><\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h3 class=\"wp-block-heading\">Why is this important?<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">As of the effective date, all <strong>legal and administrative notifications<\/strong> will be sent to the registered official email address. These notifications will be <strong>considered legally received upon being sent<\/strong>, regardless of whether or not they are opened.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Failure to comply with this requirement may have serious consequences:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Rejection of any registration procedures<\/li>\n\n\n\n<li>Loss of procedural deadlines<\/li>\n\n\n\n<li>Fines, sanctions, or other legal consequences<\/li>\n\n\n\n<li>Risk of losing lawsuits or administrative processes due to missed notifications<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h3 class=\"wp-block-heading\">How to register the email address<\/h3>\n\n\n\n<h4 class=\"wp-block-heading\">New Legal Entities (from June 4, 2025)<\/h4>\n\n\n\n<p class=\"wp-block-paragraph\">The official email address <strong>must be included<\/strong> in the incorporation deed submitted via platforms such as <strong>Tr\u00e1miteYa (RACSA)<\/strong> or the <strong>National Registry\u2019s Digital Portal<\/strong>.<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p class=\"wp-block-paragraph\">If not included, the Registry will <strong>reject the registration<\/strong>.<\/p>\n<\/blockquote>\n\n\n\n<h4 class=\"wp-block-heading\">Existing Legal Entities<\/h4>\n\n\n\n<p class=\"wp-block-paragraph\">They have <strong>until June 5, 2026<\/strong> to comply with this requirement. Two methods are available:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Public deed before a notary by the legal representative or general attorney<\/li>\n\n\n\n<li>Notarized shareholders\u2019 meeting minutes, in which the email is approved<\/li>\n<\/ul>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p class=\"wp-block-paragraph\">\u26a0\ufe0f In both cases, a notice must be published in the <strong>Official Gazette (La Gaceta)<\/strong>.<\/p>\n<\/blockquote>\n\n\n\n<h4 class=\"wp-block-heading\">Entities in the Process of Registration<\/h4>\n\n\n\n<p class=\"wp-block-paragraph\">They may complete the process under the regulations in effect at the time of submission, but <strong>must later register the email<\/strong> using one of the two mechanisms above.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h3 class=\"wp-block-heading\">Costs<\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The registration is <strong>exempt from stamps, duties, and taxes<\/strong> if no other changes are made.<\/li>\n\n\n\n<li>If used to make additional amendments, applicable taxes and duties will apply.<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h3 class=\"wp-block-heading\">Responsibility for the Email<\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The Registry will record the email <strong>exactly as it appears<\/strong> in the notarized document.<\/li>\n\n\n\n<li>The applicant is responsible for ensuring the email is <strong>active and monitored<\/strong>.<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h3 class=\"wp-block-heading\">End of the Resident Agent<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">The reform <strong>eliminates the figure of the resident agent<\/strong>.
